development on San Antonio's Famed River Walk.
This private residence club is comprised
of a total of fifty spacious and luxurious
two, three and four-bedroom residences
with elegant Owner Club spaces throughout
the urban property. Owners at Villa Verona
have access to all of the services and
amenities associated with this unrivaled
urban luxury resort property, including
the priviledges associated with the Piazza
San Lorenzo while they are in residence. |

How is ownership
at Villa Verona evidenced? Title
to your Ownership is evidenced by a real
estate deed to an undivided, deeded, shared
interest in a two, three or four-bedroom
residence at Villa Verona. Your deed, which
is recorded and insured by a title insurance
policy, is subject to the private residence
club Lodging Reservations Policies and Procedures
and the related Villa Verona Condominium
Declarations and bylaws governing documents.
This interest can be placed in trust, sold,
willed or bequeathed to other individuals
like most other forms of real estate. |

Is Villa Verona a
timeshare development? No. Timeshare
typically involves the ownership of a specific
week and is considered a pre-paid vacation
purchase. Villa Verona is a luxury lifestyle
purchase that is grounded by ownership of
Downtown San Antonio River Walk real estate.
Owners at Villa Verona have access to all
residences within their selected residence
category of two, three or four-bedrooms and
all facilities, with the right to use the
property anytime, subject to reservation
policies. Occupancy opportunities are much
like that of an equity-based golf club or
country club, where use is abundant and flexible.
Although the State of Texas regulates the
development process under its timeshare subdivision
act, Villa Verona is used more like a whole
ownership real estate than a timeshare. |

How many Ownerships
will be sold? Villa Verona at Piazza
San Lorenzo will offer two, three and four-bedroom
Memberships. There will be only ten Ownerships
offered for each residence with a total of
five hundred Ownerships for the
entire private residence club. |

family or individual own a single ownership? Yes.

Verona private residence club concept developed? Villa
Verona is designed to provide more convenience,
services and amenities than are provided
by an equally luxurious vacation home. Villa
Verona provides Owners with generous and
flexible vacation use. It removes the worries
typically associated with vacation home ownership.
And, it significantly reduces the financial
burden through shared ownership of the villas
and club facilities. More importantly, Villa
Verona provides the unique opportunity to
match the dollars expended on your real estate
purchase with your expected time usage of
a luxury second home. |

Are there similar
private residence clubs at other destination
resorts? Yes. There are other similar
clubs at highly acclaimed ski, golf and beach
resorts throughout the United States, Mexico
and Europe. Private Residence Clubs are being
designed and built in an increasingly large
selection of destinations since the introduction
of the first club in Deer Valley, Utah, in
1993. |

Owner at Villa Verona, can I vacation at
these other clubs? Ownership at
Villa Verona entitles you membership in the
Registry Collection, The World's Finest Resorts,
the world's leading brand and exchange club
for luxury resort property owners. Owners
will have the opportunity to exchange pre-planned
vacations in order to experience other similar
luxury second home vacation residences around
the world. |

How
often can Owners use Villa Verona residences? Owners
may use the accomodations at Villa Verona
as often as they wish, subject to Villa Verona's
Lodging Reservations Policies and Procedures.
Owners have the flexibility of reserving
time well in advance, and may also lodge
with short notice on a Space Available basis.
In the early fall, Owners may reserve up
to 14 days of Summer/Fall Planned Vacations
in advance to: Owners may reserve Pre-planned
Vacation time for up to 28 days each year
in addition to unlimited use on a Space Available
basis. There is no limit on amount of use.
If in a certain year, some Owners use Villa
Verona less, others may use it more. |

Is every
stay at Villa Verona for a week at a time? No.
Owners can use Villa Verona just like a second
home, subject to the Lodging Reservations
Policies and Procedures. Owners can stay
for as little as one night based on space
availability. Owners may pre-book up to 14
consecutive days in each of the two six month
calendar periods. The flexible program also
allows Owners to split time into two, three
and four night stays. Further, Owners may
reserve multiple residences during a requested
time period in order to accommodate larger
family gatherings. |

Will
Owners always stay in the same Villa Verona
residence? No. Owners may stay in
any of the residences of the type they purchased.
For example, if you purchase a two-bedroom
ownership, you may stay in any of the Villa
Verona two-bedroom residences. The same applies
for the three and four-bedroom residence
types. |

What
if the number of Members wishing to stay
at Villa Verona during certain time periods
exceeds the number of residences available? The
Lodging Reservations Policies and Procedures
have been designed to equitably allocate
reservations when demand may exceed lodging
supply. A rotating priority reservation system
ensures that all Owners have equal access
to peak period Planned Vacations over the
years. |

Can
Owners reserve more than one Residence during
the same period? Yes. Because Owners
are not restricted to a particular Residence
or seven-day stays, they can reserve more
than one residence of their size category
[two, three or four-bedroom] at any given
time. It is possible that an Owner could
have as many as four residences reserved
up to seven nights each at the same time
period [using all Planned Vacation, Space
Available, and Short Notice privileges]
if sufficient residences are available. |

Which
family members have Villa Verona privileges? Spouses
have full Ownership privileges, as well as
dependent children under age 21. |
|
|

Do Owners
have guest privileges? Yes. Guests
staying in the same residence with an Owner
are not charged. Owners may invite Unaccompanied
Guest to use their confirmed Planned Vacations
without a guest fee. |
|
Can
the residence be rented during the assigned
occupancy periods? Yes. Owners may
rent pre-planned vacation time, with the
exception of certain holiday periods as outlined
in the Lodging Policies and Procedures for
Villa Verona. Space Available vacations are
for Owner occupancy only, except as permitted
during "non-peak" periods. |

Do Members
pay any checkout fees when they stay at Villa
Verona? No, housekeeping charges
are include in the annual dues for time used
as Pre-planned Vacation time. There is a
pro-rated housekeeping fee for time used
during Space Available time.

Who
establishes the dues and controls the affairs
of Villa Verona? A Member-elected
Board of Directors establishes budgets and
dues on an annual basis. |
|
What
is the quality of construction, furniture
and accessories? Construction will
be of the highest quality and each residence
will be completely and elegantly furnished.
The accessory package will include bedding,
linens, kitchen utensils, cookware, dishes
and silverware. |

Will
cable or satellite television, DVDs and high-speed
internet be available? Yes. Cable
or satellite service will be provided to
each residence along with a complete entertainment
center in the living room and each bedroom
that will include a DVD player. High-speed
internet connections will be provided in
each residence. |

Can a Villa
Verona Ownership be resold? Yes.
Like any other form of real estate, the Owner's
undivided, deeded interest can be sold or
transferred by the Owner, or sold by a licensed
real estate agent through the Multiple Listing
Service, subject to the Villa Verona Condominium
Declarations and Bylaws. |
